These Terms and Conditions (“Portal Terms”) govern business users’ access to and use of the Portal. They apply in addition to the general website terms and conditions available at trendformer.co (the “Website Terms”), which are hereby incorporated into these Portal Terms and constitute part of them, to the extent they do not contradict Portal Terms. If there is any conflict, these Portal Terms shall prevail in relation to the Portal.
By creating an account, accessing, browsing or using the Portal, you agree to be bound by these Portal Terms and Website Terms.
1. Definitions
“Business” means a legal entity or other organization acting in the course of trade, business, craft or profession.
“User” means an individual who accesses the Portal on behalf of a Business.
“Customer” means the Business in whose name the Portal account is registered.
“Sales Agreement” means the Company’s purchase/sale contract to be accepted at the time of each order placed through the Portal, which exclusively governs the sale and purchase of Products.
“Products” means goods displayed on or referenced via the Portal, which may be made available for purchase solely in accordance with Sales Agreement and, where applicable, these Portal Terms.
2. B2B-Only Access / No Consumers
- 2.1. Business use only. The Portal is intended solely for commercial and/or business-to-business use. The Portal is not available to consumers and is not intended for personal, family or household purposes.
- 2.2. No consumer rights. If you are a consumer (or attempt to act as one), you must not access or use the Portal and are not allowed to place any order or buy any product via the Portal. Any consumer protections, withdrawal rights or similar regimes shall not apply to any purchases or orders placed via the Portal.
- 2.3. Eligibility. Access to the Portal is restricted to Users who act on behalf of a Business and who meet the requirements in Section 3.
3. Authority, Representation and Internal Approvals
- 3.1. Acting on behalf of a Business. By creating an account, accessing or using the Portal, submitting any request, placing any order, accepting the Sales Agreement, or otherwise interacting with the Company through the Portal, you confirm, represent and warrant that:
- 3.1.1. Business capacity and purpose. You act solely in the course of trade and exclusively on behalf of a Business, and you do not access or use the Portal as a consumer or for any personal, household or non-business purposes.
- 3.1.2. Identity and affiliation. You are an employee, officer, director, contractor or other duly appointed representative of the Business stated in the account details, and you use the Portal strictly in the name and for the benefit of that Business.
- 3.1.3. Full authority to act. You have full legal power, capacity and authority to create and manage the account, to appoint and manage additional Users (if applicable), to access and use the Portal, to submit requests, to place orders, and to accept and bind the Business to these Portal Terms, the Website Terms and the Sales Agreement (including any attachments, order confirmations, invoices and other transaction documents).
- 3.1.4. Internal approvals and corporate authorisations. You confirm that the Business has completed all internal approvals, corporate authorisations, procurement procedures, compliance checks, spending approvals, management consents and any other requirements applicable within the Business (including any limitations on authority levels, dual-signature rules, board approvals, internal policies and thresholds), and that no additional internal approval is required for your actions performed through the Portal.
- 3.1.5. No limitation or restriction unknown to the Company. Any internal limitations of your authority (including monetary limits, permitted product categories, geographic restrictions, approval workflows, spending caps, restricted delivery addresses, restrictions on payment methods or any other internal rules of the Business) are solely the Business’s responsibility and shall not affect the validity or enforceability of any actions performed through the Portal, unless such limitations were expressly disclosed to and accepted in writing by the Company prior to such actions.
- 3.1.6. Binding effect and liability of the Business. All actions taken through the account (including placing orders, accepting terms, selecting Products, confirming quantities, selecting delivery and billing details, submitting documentation, and communicating via the Portal) shall be deemed actions taken by the Business and shall be binding upon the Business as if performed directly by its duly authorised signatory.
- 3.1.7. Reliance without duty to verify. The Company is entitled to rely on your representations and on any actions performed through the account as valid and authorised, and the Company has no obligation to verify your authority, internal approvals, identity, employment status, mandate, power of attorney, or compliance with the Business’s internal procedures.
- 3.1.8. Account responsibility and safeguarding. The Business is solely responsible for maintaining the confidentiality and security of its account credentials and for ensuring that only authorised persons access the Portal under the account. Any use of the account credentials (whether authorised or unauthorised) shall be treated as use by the Business, except to the extent such unauthorised use is caused directly by the Company’s wilful misconduct.
- 3.1.9. Continued authority and duty to notify. You undertake to promptly notify the Company if your authority changes, is revoked, or is suspended for any reason. Until the Company confirms in writing that the account has been updated or access has been disabled, the Company may continue to treat the account activity as authorised and binding upon the Business.
- 3.1.10. Ratification by performance and payment. Without limiting the above, any payment made by the Business, any acceptance of delivery, any confirmation of an invoice, any continued performance under the Sales Agreement, or any other conduct consistent with an order placed through the Portal shall constitute an express ratification and confirmation by the Business of the User’s authority and of the Business’s intention to be bound by all related obligations.
- 3.2. Business liability for Users. The Business is fully responsible for all actions, omissions, orders, acceptances and communications made through its account by any User. The Company may conclusively presume that any activity performed through a Business’s account has been duly authorised by the Business and is performed in the name and on behalf of the Business, and the Business shall remain bound by such activity.
- 3.3. Evidence of authority. The Company may request evidence of the User’s authority and/or the Business status at any time and may suspend, restrict or terminate access to the Portal if such evidence is not provided to the Company’s satisfaction.
4. Informational Nature of the Portal / No Offer
- 4.1. Portal is informational and for convenience only. The Portal is provided solely as an informational and technical convenience tool enabling Business users to view and manage commercial information (including, without limitation, product/service listings, reference descriptions, indicative availability and indicative pricing) and to submit requests and/or orders in accordance with the applicable contractual framework.
- 4.2. No offer, no invitation, no commitment. Nothing on the Portal constitutes or shall be construed as (i) an offer, (ii) an invitation to make an offer, (iii) an offer to treat, (iv) a public promise, (v) a binding proposal to enter into any transaction, or (vi) any legally binding commitment by the Company to enter into, continue, perform or complete any business transaction of any kind, whether relating to sale, purchase, supply, delivery, lease, rental, service provision, licensing, subscription or otherwise.
- 4.3. Portal is not a contracting platform. The Portal is not intended to serve as a platform for concluding contracts by itself, and no content, functionality, action or communication performed through the Portal shall create any contractual relationship or legally binding obligation between the Company and the Business, unless and until such contractual relationship is expressly established under the Sales Agreement accepted by the Business via the Platform.
- 4.4. Orders and requests are submitted under the Sales Agreement only. Any request, inquiry or order submitted via the Portal is submitted solely for the purpose of initiating or facilitating a potential transaction under the Sales Agreement and does not, by itself, create any obligation for the Company to accept, supply, sell, deliver, reserve or otherwise make available any Products or perform any services. The Company may accept, reject, suspend, cancel, correct or modify any request or order (in whole or in part) in accordance with the Sales Agreement and/or the Company’s internal policies, and the Company shall not be bound unless and until acceptance is made in the manner expressly specified in the Sales Agreement.
5. Pricing, Product Information and Variations
- 5.1. Indicative pricing. All prices shown in the Portal are indicative, informational and non-binding, unless and until confirmed by the Company in the manner described in the Sales Agreement (including, without limitation, in an order confirmation and/or invoice issued by the Company).
- 5.2. Final pricing. The final price, taxes, delivery costs, discounts and any other commercial terms shall be determined only as stated in the Sales Agreement and related transaction documents.
- 5.3. Descriptions are approximate. Product images, descriptions, packshots, labels, characteristics, colours, packaging and specifications are illustrative and may differ from the Products delivered due to updates, manufacturing changes, batch differences or other reasons.
- 5.4. Availability. Product availability displayed on the Portal may be delayed, incorrect or subject to change. We do not guarantee that any Product is available for immediate supply.
6. Wholesale-Only / Minimum Quantities
- 6.1. Wholesale channel. The Portal is designed for wholesale / trade purchases by Businesses.
- 6.2. Minimum order quantities. Each SKU may be ordered only in minimum quantities (including case packs / pallets / minimum units) as displayed on the Portal or otherwise communicated. Orders below the minimum may be rejected or adjusted.
- 6.3. No retail purchases. The Portal is not intended for single-unit retail purchases, and the Company reserves the right to refuse any order that appears inconsistent with wholesale supply.
7. Account Registration and Security
- 7.1. Account required. Access to the Portal is available only to registered Users. We may approve, reject, suspend or revoke registrations in our sole discretion.
- 7.2. Accurate information. The Business and Users must provide complete and accurate registration data and keep it up to date.
- 7.3. Credentials and security. You must keep login credentials confidential and secure. You must notify us immediately of any unauthorised access or suspected breach.
- 7.4. Account usage. You must not share credentials, create accounts under false identities, or allow any third party to access the Portal using your account.
- 7.5. Suspension/termination. We may suspend or terminate any account immediately (without liability) where we reasonably suspect misuse, unauthorised access, breach of these Portal Terms, fraud, security risk, non-compliance or legal exposure.
8. Permitted Use and Restrictions
- 8.1. Permitted use. You may use the Portal only for legitimate business purposes related to your Business relationship with the Company.
- 8.2. Restrictions. You must not (and must not allow others to):
- 8.2.1. use the Portal for any unlawful purpose or in violation of applicable law;
- 8.2.2. access or use the Portal if you are a consumer or if you intend to purchase Products for personal, family or household use;
- 8.2.3. interfere with, disrupt or attempt to gain unauthorised access to the Portal, systems or networks;
- 8.2.4. scrape, harvest, copy, mine or extract data from the Portal (including pricing data) using automated means;
- 8.2.5. reverse engineer, decompile or attempt to derive source code, algorithms or underlying ideas of the Portal;
- 8.2.6. upload malware, exploit vulnerabilities, or attempt denial-of-service attacks;
- 8.2.7. misrepresent your identity, authority or Business status;
- 8.2.8. use Portal content to compete with us, create derivative databases, or provide competing services.
- 8.3. Monitoring. We may monitor Portal usage for security, compliance and operational purposes and may take any action we consider appropriate.
9. Portal Changes, Downtime and Discontinuation
- 9.1. No availability commitment. The Portal is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted access, uptime, performance or error-free operation.
- 9.2. Changes. We may modify, update, suspend, restrict or discontinue the Portal (or any part of it) at any time without notice.
- 9.3. No reliance. You should not rely on the Portal as the sole source of operational or commercial information. You are responsible for independently verifying critical information.
10. Intellectual Property
- 10.1. Ownership. The Portal, its content and all related intellectual property rights (including software, design, structure, text, graphics, photographs, databases and trademarks) are owned by or licensed to the Company.
- 10.2. Limited licence. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Portal and any of its content strictly for permitted b2b purposes during the term of your access.
- 10.3. No rights granted. Except as expressly stated, no rights are granted to you either regarding Portal and any its part, or any content available or gathered through you account or Portal. You must not copy, reproduce, distribute, publish, display, sell, license or exploit Portal, any of its content and information (including pricing) without our prior written consent.
11. Data, Confidentiality and Compliance
- 11.1. Business confidentiality. Pricing, discounts, assortments, commercial terms and any non-public information accessible through the Portal are confidential to the Company and/or subject to contractual restrictions. You must keep such information confidential, must not disclose it to any third party, and may use it solely for the purpose of purchasing Products from the Company and performing the Sales Agreement.
- 11.2. Compliance. You shall comply with applicable laws, including competition law and sanctions/export control laws, where relevant to the Products and transactions.
- 11.3. Privacy. Processing of personal data (if any) related to Users is governed by our Privacy Policy: link. The Business is responsible for ensuring it has a lawful basis to provide User data to us.
12. Disclaimers
- 12.1. No warranties. To the maximum extent permitted by law, the Company disclaims all warranties, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness and availability.
- 12.2. Information accuracy. We do not warrant that Portal content is accurate, complete, current or free of errors. Any reliance on Portal content is at your sole risk.
- 12.3. Third-party links. The Portal may contain links or references to third-party websites or resources. We are not responsible for them.
13. Limitation of Liability
- 13.1. Indirect losses excluded. To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, punitive or consequential damages, or for loss of profit, revenue, business, contracts, goodwill, data or anticipated savings, arising out of or in connection with the Portal or these Portal Terms.
- 13.2. Overall cap. To the maximum extent permitted by law, the Company’s total aggregate liability arising out of or in connection with the Portal and these Portal Terms shall not exceed 100.00 EUR (or the minimum amount permitted by mandatory law, if higher).
- 13.3. No liability for outages and errors. We shall not be liable for downtime, service interruptions, errors, delays, data loss, unauthorised access, or inability to place orders through the Portal.
- 13.4. Mandatory law. Nothing in these Portal Terms excludes or limits liability that cannot be excluded or limited under applicable law.
14. Indemnity
- 14.1. You shall indemnify and hold harmless the Company, its affiliates, directors, officers, employees and agents against all claims, liabilities, damages, losses and expenses (including legal fees) arising out of or related to:
- 14.1.1. your (or any User’s) access to or use of the Portal;
- 14.1.2. breach of these Portal Terms;
- 14.1.3. violation of law;
- 14.1.4. any unauthorised or fraudulent use of Customer accounts; and/or
- 14.1.5. disputes between the Customer and its Users or third parties regarding authority, approvals or ordering activity.
15. Force Majeure
- 15.1. The Company shall not be liable for any failure or delay in performance resulting from events beyond its reasonable control, including interruptions of telecommunications or hosting services, cyber incidents, power outages, strikes, governmental actions, supply chain disruptions or force majeure events.
16. Termination
- 16.1. Termination by Company. We may terminate or suspend access immediately, with or without notice, at our sole discretion.
- 16.2. Termination by Business. The Business may request deactivation of its account at any time by contacting the Company and ceasing all use of the Portal; however, the Company may retain certain information as required for legal, compliance and record-keeping purposes.
- 16.3. Effect of termination. Upon termination:
- 16.3.1. your licence to use or access the Portal ends immediately;
- 16.3.2. you must cease all access and use;
- 16.3.3. Sections intended to survive (including IP, disclaimers, liability limitation, indemnity, governing law) shall survive.
17. Changes to These Portal Terms
- 17.1. We may amend these Portal Terms at any time by posting an updated version on the Portal with a revised “Last updated” date. The amended Portal Terms shall become effective upon posting, and continued access to or use of the Portal constitutes acceptance of the amended Portal Terms.
18. Assignment
- 18.1. The Business may not assign, transfer, charge or subcontract any rights or obligations under these Portal Terms without the Company’s prior written consent. The Company may assign, transfer or subcontract its rights and obligations under these Portal Terms to any affiliate or in connection with any merger, acquisition, reorganisation or sale of assets, without notice or consent.
19. Severability
- 19.1. If any provision of these Portal Terms is held invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.
20. Entire Agreement / Priority
- 20.1. These Portal Terms, the Website Terms (except where overridden), and any policies referenced herein constitute the entire agreement between the parties regarding access to and use of the Portal, superseding any prior discussions or representations. The Sales Agreement governs purchases and sales of Products and prevails for all transaction-related matters, including ordering, pricing, delivery, payment, returns and claims.
21. Electronic Acceptance
- 21.1. Actions taken through the Portal (including ticking checkboxes, clicking acceptance buttons, submitting forms and placing orders) constitute valid electronic acceptance and evidence of consent by the Business and its authorised Users.
22. Governing Law and Jurisdiction
- 22.1. These Portal Terms shall be governed by the laws of Poland, excluding conflict of law rules. The courts of Poland shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Portal Terms and/or the Portal on the merits
- 22.2. Injunctive relief. The Business acknowledges that any breach or threatened breach of these Portal Terms, including any unauthorised use or disclosure of the Company’s intellectual property, confidential information or trade secrets, may cause irreparable harm for which damages may be an inadequate remedy. Accordingly, the Company shall be entitled, without limitation, to seek interim, injunctive, restraining and/or other equitable relief in any competent court, in addition to any other rights and remedies available at law or in equity.
23. Notices
23.1. Any notices or communications under these Portal Terms may be delivered electronically via the Portal, by email, or by any other means reasonably chosen by the Company. Notices to the Company for Portal-related inquiries shall be sent to: [email protected].
